End User Licence Agreement

1. Parties and Definitions

This End User Licence Agreement (“Agreement”) is entered into between Youbooks Edtech Pte Ltd, a company incorporated in Singapore with registered address at 200 Cantonment Road, #06-01A, Southpoint, Singapore 089763 (“Licensor”), and the individual registering for or accessing the BriMinds.ai Platform (“Licensee”, “you”, “your”).

• “Platform” means the BriMinds.ai digital learning platform accessible at www.briminds.ai and any associated applications.
• “Programme” means the BriMinds.ai AI Education Programme focused on Computational Thinking, Algorithmic Intelligence, Artificial Intelligence, Problem Solving, Coding Logic, and future-ready digital skills.
• “Content” means all videos, AI learning modules, simulations, prompts, assessments, worksheets, projects, quizzes, code exercises, and digital materials made available through the Platform.
• “User Data” means any information, submissions, assignments, code, prompts, AI-generated outputs, projects, or materials uploaded or created by you on the Platform.
• “Minor” means any individual under the age of 18.

2. Grant of Licence

Subject to payment of applicable fees and compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for personal, non-commercial educational purposes during your enrolment period.

3. Intellectual Property

All Platform content, software, AI systems, learning frameworks, trademarks, branding, graphics, and technology are the exclusive property of Youbooks Edtech Pte Ltd or its licensors. Nothing in this Agreement transfers ownership rights to you.

Projects, assignments, code, and original submissions created by students remain the intellectual property of the student, subject to the limited licence granted to the Company to display, review, evaluate, and showcase such submissions for educational and promotional purposes.

4. AI and Educational Disclaimer

BriMinds.ai uses Artificial Intelligence technologies to assist learning and educational engagement. AI-generated outputs, suggestions, explanations, code, recommendations, or assessments are provided for educational assistance only and may occasionally contain inaccuracies or incomplete information.

Students should independently verify important information and should not rely solely on AI-generated outputs for academic, professional, legal, medical, or financial decisions.

The Platform does not guarantee mastery, academic outcomes, admissions, certifications, employment, or competition success.

5. Children and Minor Protection

If you are under 13 years of age (or the applicable age of digital consent in your jurisdiction), you may only use the Platform with verified parental or legal guardian consent.

Parents and guardians may:

• Review the personal information collected from their child.
• Request deletion of their child’s information.
• Withdraw consent and terminate access at any time.
• Contact the Company regarding child safety or content concerns.

All Programme content is designed for students in Grades 3–12 and is intended to remain age-appropriate.

6. User Conduct and Acceptable Use

You agree not to:

• Violate any applicable laws or regulations.
• Harass, bully, intimidate, or harm any user.
• Upload malware, harmful code, or disruptive material.
• Misuse AI tools to generate harmful, deceptive, or unlawful content.
• Attempt unauthorized access to the Platform or another user’s account.
• Interfere with the security or operation of the Platform.

7. Certifications, Leaderboards, and Recognition

The Platform may provide certificates, badges, XP points, rankings, leaderboards, competitions, and recognitions based on learning activities, assessments, participation, or AI-based evaluations.

The Company reserves the right to modify eligibility criteria, ranking methodologies, scoring systems, and recognition structures at any time. Decisions relating to awards, certifications, rankings, and recognition shall be final.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING RELIANCE ON AI-GENERATED OUTPUTS.

10. Termination

The Licensor may suspend or terminate your access to the Platform immediately if you violate this Agreement, misuse the Platform, engage in harmful conduct, or if required by law.

11. Governing Law

This Agreement shall be governed by the laws of Singapore. Any disputes arising out of or in connection with this Agreement shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

12. Amendments

The Company reserves the right to amend this Agreement at any time. Updated versions will be posted on www.briminds.ai. Continued use of the Platform after changes are posted constitutes acceptance of the revised Agreement.
